Terms & Conditions 

These Terms and Conditions state the terms upon which Paper & Parcel will license printable designs to the User. Acceptance of the Agreement is between Paper & Parcel and the User, collectively the “Parties”, is expressly limited to these Terms and Conditions. If there is any conflict between these Terms and Conditions and any purported acceptance, these Terms and Conditions will prevail. By making your purchase, you, the User, contractually agree to these Terms and Conditions, henceforth knows as the “Agreement”.

USER LICENSE

1). Paper & Parcel grants the User a limited, royalty-free, single use license to edit, download, and print printable template(s) for which they have purchased for their own personal use. Purchased template(s) may not be used for commercial or resale purposes. 

2). The User may use the template(s) that they purchase on their own personal website and personal social media accounts. 

3). The User may create only one (1) version of each template for which they purchase. Multiple versions for various projects or events is/are strictly prohibited. 

4). The User may edit, save, and download the template(s) which they have purchased an unlimited number of times for the sole purpose of proofing.

5). The User shall not edit, obscure, modify, or remove any element from the purchased template(s) outside of the editor provided by Paper & Parcel.

6). Except as expressly set forth in this Agreement, no license or other right is granted by Paper & Parcel hereunder, directly or by implication, estoppel or otherwise, and no such license or other right will arise from the consummation of this Agreement or from any acts, statements, or dealings leading to such consummation. User shall have no right to, and shall not attempt or purport to, grant any license or sublicense.

7). Under no circumstance shall the User use the purchased template(s) for marketing, advertising, or self-promotion.

EXPIRATION OF TEMPLATE LICENSE

The Users template(s) will be available for one (1) year following purchase after which time the license expires, and the User’s access to the template(s) shall be terminated.

RIGHT TO REVOKE LICENSE

Paper & Parcel reserves the right to revoke and terminate access to a template(s) at any time if the User fails to comply with this Agreement at the sole and absolute discretion of Paper & Parcel without compensation to the User. 

CONDITION OF SUPPORT

As a condition of sale, Paper & Parcel is not obligated to provide additional support beyond the provided “Print and Resource Guide” and “Specifications Sheet” for editing and printing the template(s) the User purchases. The User is solely responsible for downloading, technology requirements, ensuring that the template(s) purchased meet the printing requirements of their chosen method, or any other activities post-sale.

COLOR

Colors vary from monitor-to-monitor. The User should not assume that the color on the computer screen or smartphone is accurate. Slight color variations on printed pieces may occur and shall be deemed acceptable. This variation may depend on various factors including, but not limited to, ink coverage from one piece to another, difference in printing technique, or paper color. Paper & Parcel is not responsible for any disparity or discrepancy in color. 

PAYMENT

Paper & Parcel only accepts payment via Paypal and Etsy Direct Checkout unless otherwise agreed upon in writing by Paper & Parcel. Purchases with e-check will not be shipped until payment has cleared. Paper & Parcel does not accept C.O.D. or personal checks. All prices and payments are in U.S. Dollars. For international orders, Paper & Parcel is not responsible for any changes in the exchange rate between the time the Client submits their payment for an order and when their credit card is processed. Paper & Parcel requires that payment is made in full at time of purchase. 

RETURNS AND EXCHANGES

ALL SALES ARE FINAL. No physical products are shipped. Due to the digital nature of the product, it is not possible to return or exchange the User’s purchase. No refunds are given even under extenuating circumstances. 

SALES & USE TAX

Pursuant to state law, all orders delivered within Colorado are charged the appropriate sales tax based on their taxing jurisdiction at the time of purchase. All Users residing in the United States are responsible for any applicable sales or use tax in their jurisdiction. International buyers are responsible for all applicable customs charges and any additional taxes associated with their order. Paper & Parcel shall not be liable in any circumstance for taxes outside of the Colorado nexus.

INDEMNIFICATION

The User hereby indemnifies and holds harmless Paper & Parcel, its affiliates, owners, officers, employees, and vendors against any and all actual or threatened claims, actions, damages, liabilities, costs and expenses, including without limitation reasonable attorney’s fees and expenses, arising from or in connection with: (a) the User’s failure to comply with this Agreement or any applicable law or regulation; (b) third party claims of infringement of any patents, copyrights, trademarks, service marks, trade names or similar proprietary rights alleged to have occurred with respect to content supplied by the User; (c) shipping or transit damage, loss of product, or any other damages; and (d) any damages incurred directly or by virtue of a claim made by a third party, in either case, arising out of a breach of the Party’s representations, warranties, covenants or duties arising out of, or in connection with, this Agreement or materials, content, addresses, or other instruction provided to the User. 

SEVERABILITY; HEADINGS

If any provision of this Agreement is held to be invalid or unenforceable for any reason, the remaining provisions will continue in full force without being impaired or invalidated in any way. The Parties agree to replace any invalid provision with a valid provision which most closely approximates the intent and economic effect of the invalid provision. Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section, or in any way affect this Agreement.

FORCE MAJEURE

Paper & Parcel shall not be deemed liable and shall not be in default if its failure to perform any obligation under this Agreement is caused by conditions beyond that its reasonable control, including, but not limited to, acts of God, war, terrorism, civil commotion, strikes, labor disputes, internet service interruptions or slowdowns, or governmental demands or requirements.

WAIVER

Waiver by Paper & Parcel to a provision contained herein shall not be construed as a waiver of the Agreement or to the provision itself.

SURVIVAL

Sections SALES & USE TAX; INDEMNIFICATION; SEVERABILITY; HEADINGS; WAIVER; COPYRIGHT & TRADEMARK; DISPUTE RESOLUTION; DISCLAIMER; LIMITATION OF LIABILITY shall survive the expiration or termination of this Agreement.

COPYRIGHT & TRADEMARK

All designs and documents are the exclusive property and copyright of Paper & Parcel and may not be distributed, licensed, replicated or resold for any reason — even upon full payment — beyond what is contemplated within this Agreement without the express written consent of Paper & Parcel. Paper & Parcel is a trademark of Brooke Chandler. Violation of this section by the User shall entitle Paper & Parcel to all appropriate legal and equitable relief, which is necessary to protect Paper & Parcel’s intellectual property rights.

DISPUTE RESOLUTION

Any dispute between Paper & Parcel and the User shall be decided under Colorado law, via binding arbitration in accordance with the applicable rules of the American Arbitration Association. Any such arbitration must be filed in Denver, Colorado within six (6) months of the date that any claim may arise, otherwise such claim shall be waived and the Parties shall hold each other harmless from such claims.

DISCLAIMER

EXCEPT AS SET FORTH IN THIS AGREEMENT, PAPER & PARCEL DOES NOT MAKE ANY REPRESENTATIONS, WARRANTIES OR GUARANTEES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO ANY ITEMS, RECOMMENDATIONS, OR SERVICES PROVIDED HEREUNDER.

LIMITATION OF LIABILITY

PAPER & PARCEL, ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, AND VENDORS AGGREGATE LIABILITY (WHETHER ARISING IN TORT, CONTRACT, OR OTHERWISE) UNDER THIS AGREEMENT OR WITH REGARD TO THE RIGHTS GRANTED UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT PAID TO PAPER & PARCEL. 

Paper & Parcel, its affiliates, owners, officers, employees, and vendors shall not be liable to the User, whether jointly, severally or individually, in excess of the compensation paid to Paper & Parcel under this Agreement, as a result of any act or omission.
